Ok, so the SBS server now shows NO ERRORS at all when I run DCDIAG. I
eliminated them all, it now passes every test.

The firewall on the new 2008 server is disabled...but still when I
restart FRS I get the initializing event (wont become a domain
controller until this has replicated and the sysvol is shared) but then,
1308 again (having trouble communicating with the SBS server)

I ran DCDIAG on the 2008 machine again, and I get all the same errors as
posted above.

Where do I go from here?

Right out of the gate you are failing the first test: advertising. You need
to find out WHY. If the DC doesn't think it is suitable then it won't
replicate. If it won't replicate then the shares won't get created and the
other errors are expected.

First, download the IT Health Scanner. It is a bit more verbose and easier
to read and understand than dcdiag.

Alternatively, dcdiag /v is your friend. The default run is telling you
WHAT is failing, but not why. Adding the /v will give you far more detail.
