If 2k8 you may want it still on for monitoring emails to be sent to you. Otherwise go into services and disable everything with "Exchange" in the title.

Just change your domain's MX records to point to the new mail service, then make sure your firewall is blocking port 25 incoming to stop anyone attempting to use your SMTP server and possibly block OWA access on port 443 (but be careful as this port is also used for RWW), and away you go...
